Role Overview

Digilancer is seeking an experienced OTC Markets Broker or Capital Markets Advisor who can assist the company in navigating the process of becoming publicly traded on U.S. over-the-counter markets such as OTC Markets Group.

The advisor will play a key role in structuring the company’s public market strategy, identifying potential listing pathways, and connecting Digilancer with the necessary market makers, legal advisors, and investment networks required to successfully complete the process.

Key Responsibilities

Provide strategic guidance on preparing Digilancer for listing on OTC markets.

Advise on the most suitable listing tier such as OTCQB Venture Market or OTC Pink Market.

Assist with identifying and coordinating with market makers, transfer agents, securities attorneys, and compliance advisors.

Guide the company through regulatory and reporting requirements required for OTC listing.

Support the development of a capital raise strategy aligned with public market entry.

Introduce potential investors, broker-dealers, and capital markets partners.

Advise leadership on investor communication and public company readiness.

Assist in preparing offering structures such as Regulation D, Regulation A+, or other capital raise mechanisms.

Ideal Candidate Profile

Licensed securities broker, capital markets advisor, or investment banker with experience in OTC listings.

Strong understanding of U.S. public market regulations and OTC market structures.

Experience working with companies listing on OTC Markets Group.

Established relationships with market makers, securities attorneys, transfer agents, and investor networks.

Experience supporting companies through reverse mergers, direct listings, or other OTC entry strategies.

Background in startup capital raising, public markets, or investment banking.

Strong professional network within the small-cap and micro-cap investment community.
